# Annexure A — Pre-Contract Integrity Pact

Where the tender prescribes its own Integrity Pact format, copy that verbatim.)*

## PRE-CONTRACT INTEGRITY PACT

This Pre-Bid-Pre-Contract Integrity Pact (the "**Integrity Pact**") is made on this [DATE] day of [MONTH], [YEAR], at [PLACE], between:

**[Issuing Authority Full Legal Name]**, having its head office at [ISSUING AUTHORITY ADDRESS] (hereinafter called the "**Buyer**", which expression shall, unless the context otherwise requires, mean and include its successors and assigns), of the **First Part**;

AND

**Cithorum [INDIA LEGAL SUFFIX]**, a private limited company incorporated under the Companies Act, 2013, having its registered office at [REGISTERED OFFICE ADDRESS], CIN [CIN NO], represented herein by [AUTHORISED SIGNATORY NAME], [DESIGNATION] (hereinafter called the "**Bidder**" or "**Seller**", which expression shall, unless the context otherwise requires, mean and include its successors and permitted assigns), of the **Second Part**.

WHEREAS the Buyer proposes to issue / has issued Tender Reference No. [TENDER REF NO] dated [TENDER ISSUE DATE] for [TENDER SCOPE] (the "**RFP**"), and the Bidder is willing to offer / has offered the goods and services contemplated thereunder.

AND WHEREAS the Bidder is a private company duly constituted under the Companies Act, 2013, and the Buyer is a [PUBLIC-SECTOR UNDERTAKING / GOVERNMENT DEPARTMENT / STATUTORY AUTHORITY].

**NOW THEREFORE**, with a view to:

- enabling the Buyer to obtain the desired services at a competitive price in conformity with the defined specifications, free from the high cost and distortionary impact of corruption on public procurement; and
- enabling the Bidder to abstain from bribing or any corrupt practice in order to secure the contract, with the assurance that competitors will likewise abstain and that the Buyer will commit to prevent corruption by its officials,

the Parties hereby agree to enter into this Integrity Pact and agree as follows:

### 1. Commitments of the Buyer

**1.1** The Buyer undertakes that no official of the Buyer, connected directly or indirectly with the contract, will demand, take a promise for, or accept, directly or through intermediaries, any bribe, consideration, gift, reward, favour, or any material or immaterial benefit or any other advantage from the Bidder, either for themselves or for any person, organisation, or third party related to the contract, in exchange for an advantage in the bidding process, bid evaluation, contracting, or implementation process related to the contract.

**1.2** The Buyer will, during the pre-contract stage, treat all bidders alike, and will provide to all bidders the same information and will not provide any such information to any particular bidder which could afford an advantage to that particular bidder in comparison to other bidders.

**1.3** All officials of the Buyer will report to the appropriate Government office any attempted or completed breaches of the above commitments as well as any substantial suspicion of such a breach.

**1.4** In case of any such breach reported by the Bidder with full and verifiable facts which are prima facie found to be correct, the Buyer shall initiate disciplinary or other proceedings, including criminal proceedings, against the official(s) concerned, and during such proceedings the proceedings under the contract shall not be stalled.

### 2. Commitments of the Bidder

The Bidder commits itself to take all measures necessary to prevent corrupt practices, unfair means, and illegal activities during any stage of its bid or during any pre-contract or post-contract stage in order to secure the contract or in furtherance to secure it, and in particular commits itself to the following:

**2.1** The Bidder will not offer, directly or through intermediaries, any bribe, gift, consideration, reward, favour, any material or immaterial benefit or other advantage, commission, fees, brokerage, or inducement to any official of the Buyer, connected directly or indirectly with the bidding process, or to any person, organisation, or third party related to the contract, in exchange for any advantage in the bidding, evaluation, contracting, or implementation of the contract.

**2.2** The Bidder further undertakes that it has not given, offered, or promised to give, directly or indirectly, any bribe, gift, consideration, reward, favour, any material or immaterial benefit or other advantage, commission, fees, brokerage, or inducement to any official of the Buyer or otherwise in procuring the contract or forbearing to do or having done any act in relation to the obtaining or execution of the contract.

**2.3** The Bidder shall disclose the name and address of all agents and representatives, and any foreign principals or associates, engaged or proposed to be engaged in connection with this bid or the resulting contract.

**2.4** The Bidder shall disclose all payments made or proposed to be made to such agents, brokers, or other intermediaries in connection with this bid or the resulting contract.

**2.5** The Bidder confirms and declares that it has not engaged any individual, firm, or company, whether Indian or foreign, to intercede, facilitate, or recommend (officially or unofficially) the award of the contract to the Bidder, and that no payment has been made, promised, or intended to be made to any such individual, firm, or company in respect of any such intercession, facilitation, or recommendation.

**2.6** The Bidder will not collude with other parties interested in the contract to impair the transparency, fairness, and progress of the bidding process, bid evaluation, contracting, or implementation of the contract.

**2.7** The Bidder will not accept any advantage in exchange for any corrupt practice, unfair means, or illegal activities.

**2.8** The Bidder shall not improperly use, for the purposes of competition or personal gain, or pass on to others, any information provided by the Buyer as part of the business relationship, regarding plans, technical proposals, or business details, including information contained in any electronic data carrier.

### 3. Disqualification from the bid process and exclusion from future contracts

If the Bidder, before the award of the contract, has committed a transgression through a violation of any of the commitments under Section 2 of this Integrity Pact (or otherwise behaved in a manner inconsistent with this Integrity Pact), the Buyer shall be entitled to disqualify the Bidder from the bid process or to terminate the contract if already executed, and to forfeit the EMD or Performance Security (as applicable). The Buyer may also, in accordance with the procedure prescribed by it, exclude the Bidder from future contract awards for a defined period.

### 4. Damages and compensation

**4.1** If the Buyer has disqualified the Bidder from the bid process or terminated the contract on the grounds of breach of this Integrity Pact, the Buyer shall be entitled to demand and recover from the Bidder liquidated damages equal to the EMD or Performance Security amount, in addition to forfeiture of the same.

**4.2** If the Bidder is found to have committed a breach of this Integrity Pact after the award of the contract, the Buyer shall be entitled to recover from the Bidder all costs, losses, and damages arising from such breach.

### 5. Confidentiality

The Buyer shall treat all information and documents provided by the Bidder with the level of confidentiality required to protect the Bidder's interests, save that the Buyer may share such information with its supervisory authorities, auditors, and the Independent External Monitor (IEM) appointed for the bid process.

### 6. Independent External Monitor (IEM)

The Buyer has, where applicable under its Integrity Pact policy, appointed an Independent External Monitor (IEM) to oversee compliance with this Integrity Pact. The IEM shall have full access to all bid documents and shall be empowered to recommend remedial action where a breach is established.

### 7. Pact duration

This Integrity Pact begins on the date of its signing by both Parties and shall remain in force until the later of:

(a) the conclusion of the bid process (if the Bidder is unsuccessful); or
(b) the satisfactory completion of all obligations under the resulting contract, including the warranty/maintenance period (if the Bidder is awarded the contract).

### 8. Governing law and jurisdiction

This Integrity Pact shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this Integrity Pact shall be subject to the exclusive jurisdiction of the courts at [JURISDICTION CITY — typically the city of the Issuing Authority's head office].

### 9. Other legal actions

The actions stipulated in this Integrity Pact are without prejudice to any other legal action that may follow under the prevailing laws of India.
